Booknz Professional Terms of Service

These Professional Terms of Service are between Booknz Inc. ("Booknz", "we", "us", or "our") and the independent professional or business using Booknz ("you", "your", or "Professional").

Booknz is a federally incorporated Canadian company launching GTA-first in Ontario. Booknz is a mobile-first booking and business-management app for independent beauty and personal-care professionals. It is designed for solo operators such as barbers, hairstylists, braiders, lash technicians, nail technicians, makeup artists, tattoo artists, and similar independent professionals. Booknz is not salon software and is not itself a beauty, personal-care, tattoo, or house-call service provider.

By creating a Professional account, subscribing, or using Booknz, you agree to these terms.

1. Who Can Use Booknz as a Professional

1.1 You must be at least 18 years old to create a Professional account.

1.2 You must provide accurate account, contact, billing, business, and service information.

1.3 You are responsible for ensuring that your services, portfolio, pricing, deposits, cancellation rules, tax treatment, licensing, insurance, health and safety practices, age and consent rules, and client communications comply with all laws and professional obligations that apply to you.

1.4 If your services require a licence, permit, training, insurance, consent form, health protocol, age restriction, parental or guardian consent, or other legal requirement, you are responsible for meeting it. Booknz does not verify your licensing, insurance, qualifications, service-specific legal obligations, or client eligibility. Publish only services you are legally allowed to provide.

1.5 Tattoo, permanent makeup, piercing-adjacent, chemical, medical-adjacent, or otherwise regulated services may be subject to extra rules. You are responsible for knowing and following those rules, including age, consent, health, hygiene, aftercare, and record-keeping obligations. Booknz may restrict or remove services that create legal, safety, payment, platform, or reputational risk.

2. What Booknz Provides

2.1 Booknz provides software tools for independent professionals, including:

  • bookings;
  • availability management;
  • client management;
  • deposits;
  • revenue tracking;
  • SMS and email reminders;
  • portfolios;
  • rebooking; and
  • house-call support, where a Professional travels to the client's location.

2.2 Clients can book through a mobile web booking link. Clients do not pay Booknz to book through that link.

2.3 Booknz may update, improve, limit, pause, or remove features from time to time. We will try to avoid disrupting active bookings, but we do not promise that every feature will always be available.

3. Booknz Is a Platform, Not the Service Provider

3.1 You are the service provider for the services you list, sell, accept, perform, cancel, reschedule, or refund.

3.2 Booknz does not employ, vet, licence, supervise, train, direct, manage, or control you or your clients.

3.3 No employment, agency, partnership, joint venture, franchise, fiduciary, or representative relationship is created between you and Booknz.

3.4 You decide your own services, hours, prices, deposit requirements, house-call areas, travel fees, cancellation rules, client acceptance, and service standards.

3.5 You are responsible for what happens during in-person, in-studio, mobile, and in-home services, including house calls.

4. House Calls and In-Person Services

4.1 If you offer house calls, you are responsible for deciding where you will travel, what travel fees apply, whether a location is safe, and whether you have enough information to perform the service safely and professionally.

4.2 You must use appropriate care when collecting and using client addresses, building access instructions, parking instructions, health notes, allergies, and other house-call details.

4.3 You are responsible for your own safety and the safety of your client during the appointment. Booknz does not inspect locations, supervise appointments, or guarantee either party's conduct.

4.4 You agree that house calls and in-person services involve real-world risks, including injury, property damage, theft, illness, allergic reaction, dissatisfaction with services, and unsafe locations. You accept those risks as the independent professional providing the service.

5. Professional Subscription, Billing, and Auto-Renewal

5.1 Booknz Professional is a paid subscription. The current launch subscription price is C$16.99 per month.

5.2 Subscriptions are billed monthly through Stripe on the web. Booknz does not use in-app purchase for Professional subscriptions.

5.3 Your subscription automatically renews each month until cancelled. By subscribing, you authorize Booknz and Stripe to charge your payment method on a recurring monthly basis.

5.4 Subscription fees are listed as tax-inclusive. Where GST/HST or other sales taxes apply, Booknz treats the listed price as including those taxes and may show the tax portion on receipts or invoices.

5.5 Booknz offers a 7-day free trial for new Professional subscriptions unless Booknz expressly says otherwise in writing. After the free trial ends, the monthly subscription automatically begins and the payment method on file will be charged unless you cancel before the trial ends. Subscription fees are not refundable for partial monthly billing periods. If you cancel after a paid billing period has started, you keep access until the end of the current paid billing period. Booknz may provide a refund or credit at its discretion or where required by law.

5.6 You can cancel your subscription using the account settings or support process made available by Booknz. Cancellation stops the next renewal. If you cancel during the 7-day free trial before the trial ends, you will not be charged and access continues until the end of the trial unless Booknz ends access earlier for misuse or security reasons. If you cancel during a paid billing period, cancellation takes effect at the end of the current paid billing period and you keep access until then.

5.7 If you cancel, you will keep access until the cancellation takes effect, unless these terms say otherwise or your account is suspended for misuse.

5.8 If your payment fails or your subscription is past due, we may retry payment, notify you, limit access, suspend your account, or cancel your subscription.

5.9 Booknz will give at least 30 days' advance notice of any subscription price increase or material billing change by email, in-app notice, account notice, or another reasonable method. The change will apply no earlier than the next billing period after the notice period. You may cancel before the change takes effect. Where applicable law requires express consent before a price increase, renewal change, or material billing change, Booknz will ask for that consent before applying the change.

6. Deposits, Payments, Payouts, and Taxes

6.1 Booknz supports client deposits through Stripe Connect. Client deposit payments are processed by Stripe and routed to the Professional's connected Stripe account. Booknz does not hold client deposits as escrow or as a stored balance outside the Stripe Connect payment-processing flow.

6.2 If payments are processed through Stripe Connect, you agree to the applicable Stripe terms for connected accounts and payment processing. Payout timing depends on Stripe Connect, bank processing times, risk reviews, reserves, holds, legal requirements, and payment-network rules. Booknz does not guarantee payout timing.

6.3 You are responsible for refunds, disputes, chargebacks, reversals, failed payments, payment claims, and negative balances connected to your bookings, services, policies, conduct, or Client relationships. Booknz may withhold, delay, reverse, recover, or set off amounts where reasonably needed for refunds, disputes, chargebacks, suspected fraud, Stripe requirements, legal requirements, payment-network rules, or platform risk. If an issue is caused by Booknz's own platform error, Booknz's responsibility is limited by Section 18.

6.4 You are responsible for your own income tax, sales tax, HST/GST, receipts, refunds, chargebacks, tips, discounts, and financial records.

6.5 Booknz may show revenue tracking information, but it is a convenience tool only. It is not tax, accounting, legal, or financial advice.

7. Your Services, Pricing, Policies, and Client Disputes

7.1 You are responsible for accurately describing your services, duration, prices, deposits, travel fees, cancellation policy, no-show policy, preparation instructions, aftercare instructions, and refund policy.

7.2 You are responsible for honouring confirmed bookings or promptly communicating changes.

7.3 You are responsible for resolving disputes with clients about service quality, lateness, cancellation, no-shows, refunds, deposits, injuries, allergic reactions, property issues, travel, house calls, and client dissatisfaction.

7.4 Booknz may, but does not have to, help facilitate communication between you and a client.

8. Client Age and Consent

8.1 Booknz does not determine whether a Client is legally eligible to receive a specific service. You are responsible for deciding whether you can lawfully accept, book, and serve a Client based on the Client's age, capacity, consent, parental or guardian consent, the service type, and applicable law.

8.2 You must not provide services to a client where the client's age, capacity, consent, parental consent, or legal authority is insufficient for the service.

8.3 For services that involve minors, body modification, sensitive personal information, health information, tattooing, permanent makeup, chemical treatments, or higher-risk procedures, you are responsible for obtaining any required consent outside Booknz unless Booknz later provides a dedicated consent workflow.

9. Client Data and Privacy Roles

9.1 For personal information you collect about your own clients through Booknz, including contact information, booking history, client notes, preferences, photos, addresses, building access instructions, allergies, skin or scalp conditions, and other appointment details, you are the controller or organization responsible for that client information. Booknz acts as your service provider or processor for that information.

9.2 You must collect, use, disclose, and keep client information only for lawful purposes and only with appropriate consent.

9.3 Client notes can include sensitive personal information, especially if they mention allergies, skin conditions, scalp conditions, medical-adjacent details, accessibility needs, body-related details, or house-call safety details. You must get meaningful consent before collecting sensitive notes and must keep notes respectful, relevant, accurate, and limited to what you need to provide the service.

9.4 For your Professional account data, subscription data, support requests, security logs, platform analytics, product usage, billing relationship, and Booknz-operated communications, Booknz is the controller or organization responsible for the information.

9.5 You must not upload information that you are not allowed to collect or share with Booknz.

9.6 You must not use Booknz to send spam, scrape client data, buy or sell client lists, or contact clients in ways that violate privacy law, CASL, platform rules, or client consent.

10. SMS, Email, and CASL

10.1 Booknz may send booking confirmations, reminders, rescheduling messages, cancellation messages, payment-related messages, account messages, and security messages by SMS or email. These are transactional or service messages.

10.2 Promotional email or SMS messages require express opt-in unless another lawful basis clearly applies. You must not use Booknz to send promotional messages to clients unless you have the required consent.

10.3 Promotional messages must include identification information and a working unsubscribe mechanism. Unsubscribe requests must be honoured promptly and within the time required by law.

10.4 Booknz may use third-party SMS and email delivery providers to send transactional and promotional messages. Those providers may process message content, recipient details, delivery status, logs, and related metadata in Canada, the United States, or other countries where they or their infrastructure providers operate. Booknz will keep its current operational provider list available through its privacy contact and will update it before using a materially different provider for production messaging.

11. Portfolio Photos, Client Likeness, and Content

11.1 You keep ownership of portfolio photos, service descriptions, profile text, logos, brand assets, and other content you upload to Booknz.

11.2 You grant Booknz a non-exclusive, worldwide, royalty-free licence to host, store, resize, format, display, transmit, and make your content available through Booknz for the purpose of operating, promoting, protecting, and improving the platform.

11.3 If your portfolio photos include a client, face, tattoo, hairstyle, body part, personal feature, or other identifiable likeness, you are responsible for getting the client's permission to upload and display that photo.

11.4 Do not upload content that is unlawful, misleading, infringing, non-consensual, hateful, explicit, exploitative, invasive, or unsafe.

11.5 We may remove content that we reasonably believe violates these terms, law, platform policies, or another person's rights.

12. Your Account Security

12.1 You are responsible for keeping your login credentials secure.

12.2 Tell us promptly if you believe your account, device, password, or client data has been compromised.

12.3 You are responsible for activity under your account unless the activity was caused by Booknz's failure to use reasonable safeguards.

13. Third-Party Services and Subprocessors

13.1 Booknz uses third-party providers to operate the platform. Current launch providers and provider categories include Stripe for subscriptions, Stripe Connect, billing, payments, fraud prevention, and payment metadata; Cloudflare for security, networking, performance, and infrastructure; Neon for Postgres database hosting; SMS and email delivery providers for communications; and hosting, monitoring, analytics, support, error-reporting, security, legal, accounting, and professional-service providers as needed.

13.2 Some processing may occur outside Canada, including in the United States. Cross-border processing may make information subject to the laws of the jurisdiction where it is processed.

13.3 Booknz will keep a current subprocessor list available through its privacy contact. Regions may include Canada, the United States, and other countries where the relevant provider or its infrastructure providers operate. Booknz is responsible for selecting platform subprocessors, but Professionals remain responsible for the services they provide to Clients and for any Client data they independently collect, export, or process outside Booknz.

14. Data Export, Retention, and Cancellation

14.1 If you cancel or your account is terminated, you may lose access to the paid Professional features.

14.2 After cancellation, Booknz will generally allow a Professional to export available account, booking, and client records for 30 days, unless access is limited because of non-payment, security risk, legal requirements, abuse, or account termination for cause.

14.3 Booknz generally keeps Professional account and business records while the account is active. After cancellation, deletion, or termination, Booknz may delete, de-identify, or restrict access to information that is no longer needed, while keeping records as reasonably required for legal, tax, accounting, security, fraud-prevention, payment, dispute-resolution, backup, and compliance purposes. Financial, tax, invoice, subscription, Stripe metadata, and legal records may be kept for at least six years where required or appropriate for Canadian business-record obligations.

14.4 We may retain information where reasonably needed for legal, tax, accounting, security, fraud-prevention, dispute-resolution, backup, or compliance purposes.

14.5 For client data that Booknz processes as your service provider, we will follow your lawful deletion or export instructions, subject to legal obligations, technical limits, backup cycles, and our Privacy Policy.

15. Acceptable Use

15.1 You must not:

  • use Booknz for illegal, unsafe, deceptive, discriminatory, harassing, exploitative, or non-consensual activity;
  • misrepresent your identity, qualifications, services, prices, location, reviews, availability, or policies;
  • interfere with the platform or try to access another user's account or data;
  • upload malware, scrape the platform, reverse engineer the service, or bypass security controls;
  • use Booknz to send unlawful commercial electronic messages;
  • collect sensitive information without appropriate consent; or
  • use Booknz in a way that harms clients, Professionals, Booknz, or the platform.

16. Suspension and Termination

16.1 We may suspend or terminate your account if you violate these terms, fail to pay, create legal risk, misuse client data, threaten platform security, or use Booknz in a way that may harm clients, Professionals, Booknz, or others.

16.2 We may also suspend features while we investigate suspected misuse, fraud, spam, unsafe conduct, payment issues, security incidents, or legal requests.

16.3 You may stop using Booknz at any time, but subscription cancellation is handled under Section 5.

17. Disclaimers

17.1 Booknz is provided on an "as is" and "as available" basis.

17.2 We do not promise that Booknz will be uninterrupted, error-free, secure from every threat, or compatible with every device, browser, payment method, SMS carrier, email provider, or third-party service.

17.3 We do not guarantee bookings, revenue, client attendance, client quality, service outcomes, house-call safety, deposits, payments, reviews, search ranking, or business success.

17.4 Booknz does not provide legal, tax, accounting, medical, health, insurance, licensing, or professional advice.

18. Limitation of Liability

18.1 To the maximum extent allowed by law, Booknz is not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, loss of goodwill, business interruption, or client disputes.

18.2 To the maximum extent allowed by law, Booknz's total liability for all claims relating to the platform or these terms is limited to the greater of C$100 or the subscription fees you paid to Booknz in the 12 months before the event giving rise to the claim.

18.3 Some laws do not allow certain limits. If those laws apply, the limits apply only to the fullest extent permitted.

19. Indemnity

19.1 You agree to defend, indemnify, and hold harmless Booknz, its directors, officers, employees, contractors, service providers, and affiliates from claims, losses, liabilities, damages, penalties, costs, and expenses, including reasonable legal fees, arising from:

  • your services or business;
  • house calls, in-home services, in-studio services, or in-person interactions;
  • injury, illness, allergic reaction, property damage, theft, harassment, assault, unsafe conduct, or service dissatisfaction involving you or your clients;
  • your content, portfolio photos, or use of client likenesses;
  • your pricing, deposits, refunds, cancellations, taxes, or payment disputes;
  • your violation of privacy law, CASL, consumer protection law, health and safety law, licensing rules, or these terms; or
  • your misuse of client data or the platform.

20. Changes to These Terms

20.1 We may update these terms from time to time.

20.2 If a change is material, we will give notice using a reasonable method, such as email, in-app notice, account notice, or website notice.

20.3 If a change requires your express consent under applicable law, we will ask for it.

20.4 If you keep using Booknz after an updated version takes effect, you accept the updated terms.

21. Governing Law and Disputes

21.1 These terms are governed by the laws of Ontario and the federal laws of Canada that apply in Ontario.

21.2 The courts located in Ontario, Canada will have jurisdiction over disputes, unless applicable consumer protection or other mandatory law gives you different rights.

21.3 Before starting a formal claim, please contact us at support@booknz.ca so we can try to resolve the issue.
